Werden sodann zwischen dem Verkaufs- und dem Kaufinteressenten Verhandlungen geführt und wird schließlich der Unternehmenskaufvertrag geschlossen, so stellt sich für die Beteiligten zwangsläufig die Frage nach der rechtlichen Gestaltung des Kaufvertrages.
Bei der Strukturierung des Unternehmenskaufs ist zwischen den beiden folgenden Grundformen des Unternehmenskaufs zu unterscheiden:
- Kauf- und Übertragungsvertrag über die einzelnen Vermögensgegenstände und ggf. die Übernahme von Schulden (sog. Asset Deal) und
- Kauf- und Übertragungsvertrag über die Anteilsrechte an einer Personen- oder Kapitalgesellschaft (sog. Share Deal).
Jede dieser Grundformen hat unterschiedliche zivilrechtliche und (teilweise) steuerrechtliche Folgen und ist mit unterschiedlichen Vor- und Nachteilen für die Beteiligten verbunden. Aufgrund der Vertragsfreiheit steht den Parteien jedoch ein großer Gestaltungsspielraum bei der Vertragsgestaltung zur Verfügung. So können die Vertragsparteien sowohl beim Asset Deal als auch bei Share Deal von den gesetzlichen Regelungen zum Teil abweichen und ihre eigenen Interessen berücksichtigen.
In dieser Arbeit wird auf die beiden Grundformen des Unternehmenskaufs eingegangen. Es werden jeweils die gesetzlichen Folgen dargestellt und die Möglichkeiten der Beteiligten analysiert, den Unternehmenskaufvertrag zu gestalten. Dabei wird insbesondere auf die Frage eingegangen, welche Vertragsgestaltung für den Käufer bzw. Verkäufer am vorteilhaftesten ist und wie die natürlichen entgegengesetzten Interessen der Beteiligten in Einklang gebracht werden können.
